{"id":2183,"date":"2009-04-08T00:00:00","date_gmt":"2009-04-07T22:00:00","guid":{"rendered":"https:\/\/www.gereso.com\/actualites\/2009\/04\/la-remuneration-des-dirigeants-en-rupture-de-stock-options\/"},"modified":"2009-04-08T00:00:00","modified_gmt":"2009-04-07T22:00:00","slug":"la-remuneration-des-dirigeants-en-rupture-de-stock-options","status":"publish","type":"post","link":"https:\/\/www.gereso.com\/actualites\/2009\/04\/08\/la-remuneration-des-dirigeants-en-rupture-de-stock-options\/","title":{"rendered":"La r\u00e9mun\u00e9ration des dirigeants en rupture de stock-options"},"content":{"rendered":"<p>En l&rsquo;absence de mesures concr\u00e8tes prises par le MEDEF afin d&rsquo;encadrer la r\u00e9mun\u00e9ration de certains dirigeants, le gouvernement a d\u00e9cid\u00e9 d&rsquo;agir en<span style=\"font-weight: bold;\"> publiant un d\u00e9cret sur la r\u00e9mun\u00e9ration des dirigeants de soci\u00e9t\u00e9s qui ont re\u00e7u des pr\u00eats d&rsquo;argent de l&rsquo;Etat<\/span> (<span style=\"font-style: italic;\">d\u00e9cret du 30 mars 2009 n\u00b02009-348<\/span>).<\/p>\n<p>Suppression des stock-options, limitation des bonus : voici un aper\u00e7u des nouvelles r\u00e8gles encadrant la r\u00e9mun\u00e9ration des dirigeants.<\/p>\n<h3><span style=\"font-weight: bold;\">Stock-options :<\/span><\/h3>\n<p>Le d\u00e9cret pr\u00e9voit que <span style=\"font-weight: bold;\">les dirigeants des grandes banques et les constructeurs automobiles aid\u00e9s par l&rsquo;Etat ne pourront pas recevoir de stock-options et d&rsquo;actions gratuites,<\/span> et ce jusqu&rsquo;au 31 d\u00e9cembre 2010.<\/p>\n<h3><span style=\"font-weight: bold;\">Bonus :<\/span><\/h3>\n<p>Les \u00ab bonus \u00bb ne sont pas supprim\u00e9s mais <span style=\"font-weight: bold;\">conditionn\u00e9s aux r\u00e9sultats de l&rsquo;entreprise.<\/span><\/p>\n<p>Ces bonus ne seront attribu\u00e9s qu&rsquo;en fonction de <span style=\"font-weight: bold;\">crit\u00e8res de performance quantitatifs et qualitatifs <\/span>et leur versement sera rendu public.<\/p>\n<p>De plus, le d\u00e9cret pr\u00e9voit que les bonus ne seront pas attribu\u00e9s <span style=\"font-weight: bold;\">si l&rsquo;entreprise proc\u00e8de \u00e0 des licenciements <\/span>de grande ampleur.<\/p>\n<p>Remarque : un d\u00e9cret du 30 mars 2009, n\u00b0 3009-349, pr\u00e9voit que <span style=\"font-weight: bold;\">les aides publiques de l&rsquo;Etat accord\u00e9es aux entreprises d&rsquo;au moins 50 salari\u00e9s devront faire l&rsquo;objet d&rsquo;une information et d&rsquo;une consultation du comit\u00e9 d&rsquo;entreprise.<\/span><\/p>\n<p>Cette information et consultation portera sur :    <\/p>\n<li>la nature de l&rsquo;aide,<\/li>\n<li>son objet, <\/li>\n<li>son montant <\/li>\n<li>les conditions de versement et d&#8217;emploi fix\u00e9es par l&rsquo;Etat.<\/li>\n<p> Concernant les entreprises qui n&rsquo;ont pas re\u00e7u d&rsquo;aides de l&rsquo;Etat, le Premier ministre a d\u00e9clar\u00e9 qu&rsquo;elles devront se conformer au code de gouvernance du MEDEF.<\/p>\n<p>A cet \u00e9gard, le Premier ministre souhaite <span style=\"font-weight: bold;\">la cr\u00e9ation, d&rsquo;ici fin avril, d&rsquo;un comit\u00e9 des sages<\/span> charg\u00e9 de veiller \u00e0 ce que les dirigeants d&rsquo;entreprises, qui recourent massivement au ch\u00f4mage partiel ou qui mettent en oeuvre des plans sociaux, <span style=\"font-weight: bold;\">\u00ab reconsid\u00e8rent \u00bb leur r\u00e9mun\u00e9ration.<\/span><\/p>\n<p>Les entreprises publiques seront, elles aussi, soumises \u00e0 des <span style=\"font-weight: bold;\">r\u00e8gles de bonne conduite en mati\u00e8re de r\u00e9mun\u00e9ration.<\/span><\/p>\n<p>L&rsquo;attribution des bonus et des indemnit\u00e9s de d\u00e9part sera conditionn\u00e9e \u00e0 <span style=\"font-weight: bold;\">des crit\u00e8res de performance.<\/span><\/p>\n<p><span style=\"font-style: italic;\">Source : <\/span>juritravail.com<\/p>\n","protected":false},"excerpt":{"rendered":"<p>En l&rsquo;absence de mesures concr\u00e8tes prises par le MEDEF afin d&rsquo;encadrer la r\u00e9mun\u00e9ration de certains dirigeants, le gouvernement a d\u00e9cid\u00e9 d&rsquo;agir en publiant un d\u00e9cret sur la r\u00e9mun\u00e9ration des dirigeants de soci\u00e9t\u00e9s qui ont re\u00e7u des pr\u00eats d&rsquo;argent de l&rsquo;Etat (d\u00e9cret du 30 mars 2009 n\u00b02009-348).
